She also scheduled an Aug. 3 hearing on whether to extend the hold for longer with a preliminary injunction.

Now, traders are concerned she may decide to put the deal on ice pending a full trial, which would drag out the process further and change the calculus on expected returns.

“The market is increasingly fearful the judge could grant a quick, minimally litigated preliminary injunction and then a full trial would not begin until 2027, with the market perceiving less chance for a positive Paramount judicial decision in 2026,” Adam Halper, head of the Americas and global research at Churchill Capital. He added, though, “chance of a settlement does remain.”

Lingering regulatory uncertainty and political pressure have already weighed on Warner Bros.’s stock for months, keeping the so-called deal spread wide. At current trading levels, traders are pricing in a roughly 60% probability of the deal closing, assuming the downside value for Warner Bros. stock is in the mid-to-high teens.

To merger arbitrage specialists who make wagers on deals, the core question is how the legal procedures will play out — whether Paramount and Warner Bros. can ultimately reach settlements with US state enforcers, or defeat them in court, and how long that will take. If the companies can overcome the legal hurdles in a timely manner, the swelling deal spread offers a potentially lofty return.

“It is the most attractive risk-reward trade that could potentially close in this calendar year,” said Matt Osowiecki, a portfolio manager at Water Island Capital LLC.

At the same time, “the potential for longer duration will force some arbs to reduce exposure,” Osowiecki added. “And it’s difficult for the arb community to absorb that increased selling volume because this is a very large transaction.”

While the merger has already cleared antitrust approval in the US, with a nod from the European regulators expected soon, the states’ July 13 lawsuit and latest ruling has thrown a wrench in the timeline. California has requested an April 2027 trial date.

ADVERTISEMENT:

‘Meaningful’ risk

Monday’s temporary restraining order “creates meaningful closing-delay and litigation risk,” Benchmark analyst Daniel L. Kurnos wrote in a note published Tuesday. At the same time, while it suggests a preliminary injunction is plausible, the ruling itself “supports, only a moderate, not high, likelihood that the states ultimately prevail, in our view,” Kurnos wrote.

The companies aim to close the transaction in the third quarter. If not completed by then, Paramount will have to pay a so-called ticking fee of 25 cents a share per quarter, which means any delay may risk costing billions of dollar for the buyer.

The heightened state scrutiny of media consolidation is an incremental negative for other pending or speculated large-cap media combinations, according to Michael Piccolo, special situations analyst at Wedbush.

It “reinforces our view that regulatory risk, not financing, is now the primary swing factor” for the Warner Bros.-Paramount situation, he wrote in a note published Tuesday.

© 2026 Bloomberg

                        #ParamountWarner #deal #spread #balloons #ruling #upends #timing

A judge’s move to pause Paramount Skydance Corp’s $110 billion takeover of Warner Bros Discovery…

[4
17699,110,15153,3114,5480,16151,13661
