The economic effect of a two-for-one stock split will be one Class C share per Class A and Class B share.

There is more to the move than just making Meta shares seem less expensive.

As the corporation invests enormous sums of money in artificial intelligence, Meta claims that the new shares may be used to raise money, pay staff, and cover acquisitions.

Also Read: Cathie Wood sells $16 million of surging tech stock

However, Meta is able to raise that capital without diminishing Mark Zuckerberg’s power as CEO by issuing non-voting shares.

Because of these factors, the new stock provides an exceptionally clear view into Meta’s goals.

As it purchases processors, constructs data centers, and creates AI products, the corporation anticipates spending between $135 billion and $145 billion on capital expenditures in 2026.

In order to continue spending, Meta needs more financial freedom.

It does not want Zuckerberg to give up power in order to get it.

Meta’s new shares are not free money

The first thing that regular investors need to realize is that Meta is not going to instantly double everyone’s wealth.

The intended distribution would ultimately leave an investor with 10 Class A shares and ten Class C shares if they held ten Meta Class A shares.

However, Meta anticipates that the market value of its current Class A shares will change to reflect a two-for-one stock split.

In other words, investors receive additional shares, but the company’s economic value does not immediately double.

Voting power makes a difference.

Voting rights are attached to Meta’s current publicly listed Class A shares. Despite holding less than a majority of the company’s economic worth, Zuckerberg has been able to keep control of it because of his Class B shares, which have far more voting power.

There are no votes on the new Class C shares.

Meta stressed that no shareholder’s voting power would be altered by the distribution.

That becomes especially important after the initial stock dividend.

Thereafter, Meta will have a currency that it may provide to staff members, possible acquisition targets, or new investors without giving them more power over business choices.

Reuters reported that Meta designed the structure partly to finance growth while preserving Zuckerberg’s control.

That’s the real story for stockholders.

Meta is doing more than just dividing its shares.

To fund the next phase of its AI evolution, it is altering its toolbox.

Tesla wants to make the steering wheel optional

Finn Gomez / Getty Images

Meta’s AI bill explains why it wants more flexibility

Meta has a lot of money.

Cash, cash equivalents, and marketable securities totaled $82.45 billion at the end of September.

However, its expenditures are increasing at an incredibly rapid rate.

Purchases of property and equipment increased from $18.83 billion to $34.91 billion in the third quarter alone.

After a year of positive free cash flow of $10.63 billion, free cash flow fell to negative $2.12 billion.

Meta projects $135 billion to $145 billion in capital expenditures for the whole year.

More Tech:

Meta and Microsoft just sent employees a memo about Anthropic

Microsoft cutting off popular software with no extension Oct. 13

Apple’s biggest AI advantage may face new privacy challenge

Artificial intelligence is becoming more and more connected to expenditure.

While attempting to transform its new Muse AI agent into yet another massive consumer platform, Meta is constructing data centers, purchasing cutting-edge CPUs, and creating its own models.

In its first six weeks, over 10 million users in the US and Canada registered for Muse accounts, according to Zuckerberg.

He thinks Muse will someday have billions of users.

However, providing for such a large number of users is costly.

Reuters reported that Zuckerberg acknowledged Muse costs more to operate than many products Meta has launched in the past, prompting the company to think about monetizing it sooner.

This increases the value of having access to more capital.

Zuckerberg keeps control while Meta keeps spending

The Class C shares become very intriguing at this point.

By issuing a lot of voting stock, a traditional corporation may progressively reduce the power of current shareholders.

That may ultimately jeopardize the founder’s authority over a firm they own.

Meta’s suggested structure mostly avoids that issue.

The company’s board said one reason for creating Class C shares was to ensure Zuckerberg continues leading Meta into its next era.

Meta has also entered into what it calls a Founder Alignment Agreement with Zuckerberg covering his Class C shares and potential future stock distributions.

This implies that Meta might use shares with economic value to pay staff or fund acquisitions more often without generating fresh votes that would compete with Zuckerberg’s.

For regular investors, there is a trade-off.

The arrangement provides Meta with more freedom to pursue AI opportunities without necessarily relying solely on money or debt.

However, investors purchasing the new Class C shares will control a portion of Meta without having any influence over the company’s governance.

When one CEO already has significant control over the course of the business, that difference is important.

Meta is preparing for an expensive AI future

A large portion of Meta’s goal can be financed by its current operations.

Third-quarter revenue rose 26% to $64.6 billion, while advertising impressions increased 10% and average advertising prices climbed 14%.

The funding for Meta’s AI revolution is still coming from that advertising machine.

However, it has become more difficult to overlook the price of competing.

During the quarter, Meta invested about $35 billion in capital projects, and it anticipates further aggressive spending in 2027.

It now has an additional means of funding that growth, thanks to the new Class C shares.

This makes it more than just an odd stock split.

Meta is preparing its financing structure for a future where artificial intelligence will require years of massive investment before products like Muse can become significant stand-alone companies.

It has built that framework around a single, crucial need.

Meta can issue more shares.

It can use them to buy companies.

It can use them to attract employees.

It can potentially use them to raise enormous amounts of capital.

But those shares do not have to make Mark Zuckerberg any less powerful.

<p
