Vukile raises R1.1bn in oversubscribed debt auction

2 min read

Specialist retail real estate investment trust (Reit) Vukile Property Fund has completed an oversubscribed debt auction, securing R1.1 billion in senior unsecured floating-rate notes at margins well below initial price guidance.

The corporate bond auction attracted R3.65 billion in total bids, leaving the issuance more than 3.3 times subscribed across 17 diverse institutional investors.

Tighter pricing across maturities

The auction achieved a weighted average margin of 102 basis points over the South African Rand Overnight Index Average (Zaronia) across three maturity tranches, settling on 27 August 2026:

Three-year tranche: Raised R272 million, clearing at 83 basis points over Zaronia.
Five-year tranche: Raised R408 million, clearing at 96 basis points over Zaronia.
Seven-year tranche: Raised R420 million, clearing at 119 basis points over Zaronia

All three tranches cleared materially inside the lower end of initial guidance, lowering Vukile’s overall cost of debt while extending its maturity profile.

FirstRand Bank Limited, through its Rand Merchant Bank (RMB) division, acted as the sole lead arranger.

Detailing the execution, Maurice Shapiro, group head of treasury at Vukile, noted: “This auction was executed against the backdrop of the market’s transition to Zaronia, and the positive pricing achieved across all three tranches continues to lower Vukile’s cost of debt while extending our maturity profile.

“We value the instrumental contribution of RMB’s role as arranger and the continued support of our investors.”

Credit quality and ratings

The strong primary market demand follows GCR Ratings’ July review, which reaffirmed Vukile’s national scale long-term issuer rating at AA+(ZA) and its short-term rating at A1+(ZA), both with a stable outlook.

Commenting on the market response, Laurance Rapp, CEO of Vukile, said: “We are pleased with the strong demand and supportive pricing achieved in this auction, showcasing Vukile’s exceptional credit quality which GCR reaffirmed in July as an AA+(ZA) issuer rating with a stable outlook.

GCR noted in its rating affirmation that Vukile’s standing is underpinned by its large, geographically diverse retail portfolio, asset enhancement execution and capital discipline, maintained through a balanced mix of debt, equity and asset recycling.
